What is a confirmation statement?
It is the annual filing (form CS01) that confirms your company’s details on the public register are up to date. Here is what it covers, how it differs from your accounts, what it costs, and what happens if you miss it.
A confirmation statement (form CS01) is an annual filing every UK limited company and LLP must make to Companies House. It confirms the key details on the public register are correct: your registered office, directors, People with Significant Control, shareholders and SIC codes. It replaced the old annual return, and it is required every year even if nothing has changed.
Registered office & email
Your official company address on the public register, and the registered email address Companies House uses to contact you.
Directors & PSCs
Your directors, any company secretary, and People with Significant Control, the people who ultimately own or control the company.
Shares & shareholders
Your share capital, the shares issued, and who holds them. Any changes during the year are reported alongside the statement.
SIC codes
The Standard Industrial Classification codes that describe what your company actually does.
What every director should know
The confirmation statement is easy to overlook because it is not about money, but missing it is serious: it is a criminal offence and can lead to the company being struck off. The simplest way to stay safe is to have the deadline tracked and the filing handled for you.
