The job that costs you when it slips

A dormant company still has obligations, and forgetting them is how a paused company ends up with penalties or a strike-off notice. Annual accounts, a confirmation statement and an HMRC dormant record are all still required, even with no trading.

Most owners do not want to pay full accountancy fees for a company that is doing nothing, but they also cannot let the filings lapse. The answer is a low-cost service that simply keeps it ticking over correctly.

  • Still having to file accounts despite no trading
  • A confirmation statement that is still due each year
  • HMRC expecting a return unless told you are dormant
  • Penalties and strike-off risk if filings lapse
  • Not wanting to pay full fees for a dormant company
  • Uncertainty over what actually counts as dormant
What we do

Hand it over, and consider it handled

A company is dormant if it has had no significant accounting transactions in the financial year. Even so, it must still file annual accounts and a confirmation statement with Companies House, and let HMRC know it is dormant for Corporation Tax.

We take care of the lot at a reduced fee: dormant accounts prepared and filed (often the simple AA02 for a company that has never traded), your confirmation statement, and the HMRC notification, so your shell or paused company stays fully compliant without paying full accountancy fees.

Still deciding?

The honest answers to what you’re thinking

My company does nothing, why pay anything at all?

Because the filings are still legally required, and missing them brings penalties and strike-off action. Our dormant service is deliberately low-cost so compliance costs you very little while the company is paused.

Can I file dormant accounts myself?

You can, through Companies House, if you are confident the company qualifies and you also handle the confirmation statement and HMRC. Many owners prefer to hand the whole lot over for a small fee and forget about it.

How do I know if my company is really dormant?

It must have had no significant accounting transactions in the year. We will confirm whether yours qualifies before filing, so the dormant accounts are correct.

What if I have not filed for a while?

We can bring an overdue dormant company back up to date and stop any strike-off action. Get in touch and we will sort it quickly.

FAQ

Dormant Company Accounts questions, answered

Do I still have to file accounts for a dormant company?
Yes. Every limited company, trading or not, must file annual accounts and a confirmation statement with Companies House. A dormant company files dormant accounts, which are simpler, and should also be recorded as dormant for Corporation Tax with HMRC. We handle all of it.
What counts as dormant?
A company is dormant if it has had no significant accounting transactions in the financial year. Things like filing fees paid to Companies House do not count as significant. If you are unsure whether yours qualifies, we will tell you.
How much do you charge for dormant accounts?
Because the work is lighter, dormant company accounts are filed at a reduced fixed fee that also covers your confirmation statement. It is far cheaper than full accounts and keeps the company fully compliant.
Do I need to tell HMRC as well as Companies House?
Yes. Companies House and HMRC are separate. As well as filing dormant accounts at Companies House, the company should be recorded as dormant for Corporation Tax so HMRC does not expect a return. We make sure both are dealt with.
What happens when I start trading again?
You must tell HMRC the company is active and register for Corporation Tax within 3 months, and your accounts become full accounts. We can move you straight from dormant filing into a normal accounting service when that day comes.
